Communicate to Elevate Terms and Conditions

Effective Date: October 9, 2026

1. Agreement to Terms

1.1 Parties. These Terms and Conditions (the "Agreement") constitute a legally binding agreement between LaChina Enterprises LLC, a Georgia limited liability company having its principal place of business in Fulton County, Georgia (the "Company," "we," "us," or "our"), and the individual or entity purchasing, registering for, accessing, or using the Program (the "User," "you," or "your").

1.2 Definitions. As used in this Agreement: (a) "Program" means the Communicate to Elevate online training course, including all videos, lessons, modules, the course workbook, and all other downloadable materials, templates, and related content; (b) "Platform" means the online training platform through which the Program is made available, currently hosted by Kajabi at thrive.therisewithlachina.com, or any successor platform designated by the Company; (c) "Site" means the website located at thrive.therisewithlachina.com, including the Program's sales and checkout pages; and (d) "License Fee" means the amount payable for the License granted under Section 3.

1.3 Acceptance. By checking the box at checkout indicating acceptance of this Agreement and the Privacy Policy, completing a purchase, creating an account, or accessing or using the Platform or Program, the User acknowledges that the User has read, understood, and agrees to be bound by this Agreement and the Company's Privacy Policy, as posted on the Site, which is incorporated herein by reference. If the User does not agree to this Agreement, the User shall not purchase, access, or use the Program.

1.4 Modifications. The Company reserves the right to modify this Agreement at any time. Modifications shall become effective upon posting of the revised Agreement with an updated Effective Date. The Company shall provide notice of material modifications by email or through the Platform. The User's continued access to or use of the Platform following the effective date of any modification constitutes acceptance of the modified Agreement. No modification shall apply to any dispute arising prior to the effective date of such modification.

2. Eligibility and Accounts

2.1 Nature of the Program. The Program is a self-paced, on-demand online training course that teaches a communication framework, delivered through the Platform for educational purposes only. The content, format, and features of the Program are as described on the Site at the time of purchase and are subject to change in accordance with Section 5.

2.2 Eligibility. The User represents and warrants that the User is at least eighteen (18) years of age and has the legal capacity to enter into this Agreement. If the User is entering into this Agreement on behalf of a business entity, the User represents and warrants that the User has the authority to bind such entity, and the term "User" shall include such entity.

2.3 Account Registration. Access to the Program requires the creation of an account. The User shall provide accurate, current, and complete information and shall maintain and promptly update such information. The User is solely responsible for maintaining the confidentiality of the User's login credentials and for all activities that occur under the User's account. The User shall notify the Company immediately at info@therisewithlachina.com of any unauthorized use of the User's account.

2.4 Single User Account. Each account is licensed for use by one (1) named individual only. The User shall not share login credentials, permit any other person to access the Platform through the User's account, or access the Platform through concurrent sessions in a manner indicative of account sharing. The Company may monitor account activity and may suspend or terminate any account the Company reasonably believes is being shared.

3. License Grant and Intellectual Property

3.1 Grant of License. The User acknowledges and agrees that the User is purchasing a license to access the Platform and is not purchasing the Program, any content contained therein, or any copy thereof. Subject to the User's payment of the applicable License Fee in full and the User's continued compliance with this Agreement, the Company hereby grants to the User a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Platform and to view the Program content made available therein, solely for the User's personal, non-commercial, educational use during the Access Period (as defined in Section 5.1) (the "License"). The User may download materials only to the extent the Company expressly makes a download function available, and solely for the User's personal use. The User's rights in and to the Program are limited to the License.

3.2 Non-Transferability. The License is personal to the User. The User shall not sell, resell, assign, transfer, gift, lend, rent, lease, sublicense, or otherwise make the License or access to the Platform available to any third party. Any attempted transfer in violation of this Section shall be null and void and shall constitute grounds for immediate termination of the License without refund.

3.3 Restrictions. Except as expressly permitted in this Agreement, the User shall not, and shall not permit any third party to:

  1. copy, reproduce, record, screen-capture, or download any portion of the Program;

  2. share, post, upload, publish, transmit, or distribute any portion of the Program, including through social media, file-sharing services, or private groups;

  3. use the Program to create, teach, market, or sell any competing course, coaching program, product, or service;

  4. modify, translate, adapt, or create derivative works based upon the Program;

  5. remove, obscure, or alter any copyright, trademark, or other proprietary notice;

  6. use the Program to train any artificial intelligence or machine-learning model, or scrape, harvest, or extract content by automated means; or

  7. reverse engineer, circumvent, disable, or interfere with any security, access-control, or content-protection feature of the Platform.

3.4 Printed Materials. Where the Company makes downloadable materials available, the User may print one (1) copy of such materials solely for the User's personal use. The User shall not print, photocopy, or otherwise reproduce copies of such materials for any other person, including clients, employees, students, or group members.

3.5 Remedies for Unauthorized Use. Any copying, sharing, or distribution of the Program in violation of this Section 3 shall constitute a material breach of this Agreement. Upon any such breach, the Company may immediately terminate the License and the User's access to the Platform without refund, and may pursue all remedies available at law or in equity, including without limitation claims for copyright infringement, injunctive relief, damages, and recovery of reasonable attorneys' fees and costs. The Company may further submit takedown notices to any website or platform hosting the Company's content.

3.6 Ownership. The Program, the Platform, the Site, and all content and materials therein, including without limitation all videos, text, graphics, workbooks, templates, logos, trademarks, and the selection and arrangement thereof, are and shall remain the sole and exclusive property of the Company or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. All rights not expressly granted to the User herein are reserved by the Company. Nothing in this Agreement shall be construed as a transfer of ownership of any intellectual property to the User.

3.7 User Content. The User retains ownership of any comments, questions, or other content the User submits through the Platform ("User Content"). The User hereby grants the Company a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, and distribute User Content in connection with the operation and promotion of the Program. The User shall not submit any confidential information as User Content.

3.8 Feedback and Testimonials. The User hereby grants the Company the right to use any feedback, results, or testimonials the User submits, together with the User's first name and last initial or such other attribution as the User authorizes, without compensation, subject to applicable law.

4. License Fees, Payment, and No Refunds

4.1 License Fee. The User shall pay the License Fee set forth at checkout, together with all applicable taxes. All License Fees are stated in United States dollars. The Company may change its License Fees at any time; provided, however, that no change shall affect any purchase completed prior to such change.

4.2 Installment Payments. If the User elects to pay the License Fee in installments, the User hereby authorizes the Company and its payment processor to charge the User's designated payment method on each scheduled payment date until the License Fee is paid in full. An installment plan is an accommodation for payment of the full License Fee and is not a subscription subject to cancellation. The User shall remain obligated for the full License Fee regardless of the User's use or non-use of the Platform. Upon any failed payment, the Company may suspend access to the Platform until all amounts due are paid and may pursue collection of all amounts owed.

4.3 ALL SALES FINAL; NO REFUNDS. THE LICENSE FEE IS PAYMENT FOR THE LICENSE TO ACCESS THE PLATFORM GRANTED UNDER SECTION 3. THE PROGRAM IS DELIVERED IN FULL UPON PURCHASE: UPON PAYMENT, THE LICENSE IS GRANTED AND THE USER IS GIVEN IMMEDIATE ACCESS TO THE ENTIRE PROGRAM THROUGH THE PLATFORM. ACCORDINGLY, ALL LICENSE FEES ARE FULLY EARNED UPON PAYMENT AND ARE NON-REFUNDABLE, IN WHOLE OR IN PART, FOR ANY REASON, INCLUDING WITHOUT LIMITATION: (A) THE USER'S FAILURE TO ACCESS, USE, OR COMPLETE THE PROGRAM; (B) DISSATISFACTION WITH THE CONTENT OR RESULTS; (C) A CHANGE IN THE USER'S MIND OR CIRCUMSTANCES; (D) TECHNICAL ISSUES ATTRIBUTABLE TO THE USER'S EQUIPMENT OR CONNECTIVITY; OR (E) TERMINATION OF THE LICENSE FOR BREACH OF THIS AGREEMENT. BY COMPLETING A PURCHASE, THE USER ACKNOWLEDGES THAT THE USER HAS READ THIS SECTION, THAT THE PROGRAM IS DELIVERED IN FULL AND THE LICENSE COMMENCES IMMEDIATELY UPON PURCHASE, AND THAT THE USER WAIVES ANY RIGHT TO A REFUND OF THE LICENSE FEE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THE USER MAY DIRECT QUESTIONS REGARDING THE PROGRAM TO info@therisewithlachina.com PRIOR TO PURCHASE.

4.4 Payment Disputes. The User shall contact the Company at info@therisewithlachina.com to resolve any billing concern prior to initiating a dispute or chargeback with the User's financial institution or card issuer. Initiating a chargeback in violation of this Section shall constitute a material breach of this Agreement. In such event, the Company may immediately terminate the License and may provide the User's purchase records, records of acceptance of this Agreement, and Platform access logs to the payment processor, card issuer, or card network to contest such dispute.

4.5 Taxes. The User shall be responsible for all sales, use, and similar taxes arising from the User's purchase, excluding taxes based on the Company's net income.

5. Access Period, Availability, and Termination

5.1 Access Period. The License shall commence upon the Company's receipt of payment and shall continue for a period of one (1) year from the date of purchase (the "Access Period"), whereupon the License and the User's access to the Platform shall automatically expire without further notice. In the event the Company permanently discontinues the Program prior to the expiration of the Access Period, the Company shall use commercially reasonable efforts to provide the User with not less than thirty (30) days' prior notice by email.

5.2 Availability. The Company shall use commercially reasonable efforts to make the Platform available on a continuous basis but does not warrant that access will be uninterrupted or error-free. Access may be suspended for maintenance, updates, third-party platform outages, or events beyond the Company's reasonable control. No such interruption shall entitle the User to any refund or credit.

5.3 Modifications to the Program. The Company reserves the right, in its sole discretion, to update, add, remove, reorganize, or replace any lessons, materials, bonuses, or features of the Program, and to migrate the Program to a different hosting platform, at any time.

5.4 User Equipment. The User shall be solely responsible for obtaining and maintaining a compatible device, browser, and internet connection, and for all costs associated therewith.

5.5 Termination by the Company. The Company may suspend or terminate the License and the User's access to the Platform immediately, without notice and without refund, upon any breach of this Agreement by the User, including without limitation account sharing, unauthorized copying or distribution of the Program, non-payment, an improper chargeback, or abusive conduct.

5.6 Effect of Termination. Upon expiration or termination of the License for any reason, all rights granted to the User hereunder shall immediately cease, and the User shall cease all use of the Program and destroy all downloaded materials. Sections 3.2 through 3.8, 4, 6, and 7, and any other provision that by its nature is intended to survive, shall survive any expiration or termination of this Agreement.

6. User Conduct, Disclaimers, and Limitation of Liability

6.1 User Conduct. In connection with any community feature, live session, or other interaction relating to the Program, the User shall not: (a) harass, threaten, or discriminate against any person; (b) post any unlawful, infringing, defamatory, or unsolicited promotional content; (c) solicit other participants for the User's own business without the Company's prior written consent; or (d) record, collect, or disclose the personal information of other participants. The Company may remove any content and suspend or terminate access for any violation of this Section.

6.2 Educational Purposes Only. The Program teaches a communication framework and provides general educational information only. The Program does not constitute legal, career, financial, or other professional advice. No attorney-client, coaching, employment, agency, or other professional relationship is created by this Agreement or the User's use of the Program. The User should consult a qualified professional before acting upon any information contained in the Program.

6.3 No Guarantee of Results. The Company makes no representation, warranty, or guarantee that the User will achieve any particular result from the Program, including without limitation any promotion, job offer, role, contract, deal, compensation, media opportunity, or other professional or financial outcome. The User acknowledges that results depend upon numerous factors, including the User's effort, experience, and circumstances, and the decisions of third parties. Any examples, testimonials, or case studies are not typical and do not constitute a promise or guarantee of any particular result. The User is solely responsible for the User's decisions and actions.

6.4 Disclaimer of Warranties. THE PROGRAM, THE PLATFORM, AND THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PROGRAM WILL MEET THE USER'S REQUIREMENTS, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6.5 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PROGRAM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL LICENSE FEES ACTUALLY PAID BY THE USER TO THE COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6.6 Indemnification. The User shall defend, indemnify, and hold harmless the Company and its members, managers, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) the User's breach of this Agreement; (b) the User's use or misuse of the Program; (c) any User Content; or (d) the User's violation of any law or the rights of any third party.

7. Governing Law, Dispute Resolution, and General Provisions

7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles, and applicable federal law of the United States.

7.2 Informal Dispute Resolution. Prior to initiating any legal proceeding, the party asserting a claim shall provide the other party with written notice describing the nature of the dispute and the relief sought, which notice to the Company shall be sent to info@therisewithlachina.com. The parties shall attempt in good faith to resolve the dispute within thirty (30) days following receipt of such notice.

7.3 Jurisdiction and Venue. Any action arising out of or relating to this Agreement that is not resolved pursuant to Section 7.2 shall be brought exclusively in the state courts located in Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division. Each party hereby irrevocably consents to the personal jurisdiction of and venue in such courts and waives any objection based on inconvenient forum. Notwithstanding the foregoing, either party may bring an individual action in the Magistrate Court of Fulton County, Georgia, if the claim qualifies, and the Company may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.

7.4 Waiver of Class Actions and Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY WAIVES ANY RIGHT TO A TRIAL BY JURY AND AGREES THAT ANY CLAIM SHALL BE BROUGHT SOLELY IN SUCH PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

7.5 Limitations Period. To the extent permitted by applicable law, any claim arising out of or relating to this Agreement or the Program must be commenced within one (1) year after the cause of action accrues, or such claim shall be permanently barred.

7.6 Entire Agreement. This Agreement, together with the Privacy Policy and the terms presented at checkout, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

7.7 Severability. If any provision of this Agreement is held invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

7.8 No Waiver. No failure or delay by the Company in exercising any right or remedy shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any further exercise thereof.

7.9 Assignment. The User may not assign or transfer this Agreement or the License, by operation of law or otherwise. The Company may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

7.10 Force Majeure. The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, epidemics, governmental action, labor disputes, internet or utility failures, or outages of third-party service providers.

7.11 Electronic Communications and Signatures. The User consents to receive all notices and communications electronically and agrees that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing. The User's electronic acceptance of this Agreement shall have the same force and effect as a handwritten signature.

7.12 Headings. Section headings are for convenience only and shall not affect the interpretation of this Agreement.

7.13 Notices. Notices to the Company shall be sent to: LaChina Enterprises LLC, 780 Morosgo Drive NE, #14306, Atlanta, Georgia 30324; Email: info@therisewithlachina.com. Notices to the User shall be sent to the email address associated with the User's account.
